Exclusive negotiations are now underway between the media conglomerate and Netflix for a potential sale of its core studio and streaming operations, a move that could dramatically alter the entertainment industry landscape.
An Intense Bidding War
Netflix is reportedly vying with other industry titans like a rival studio and the cable giant, which owns significant media properties, for ownership of the legendary Hollywood institution, the premium HBO network, and the Max streaming platform.
Sources indicate Netflix has offered a hefty termination penalty of £3.7 billion if the acquisition not obtain necessary regulatory approval in the US.
The Offer Details
With Warner Bros Discovery shares currently trading at about $24 per share, its overall market cap is estimated at roughly $60 billion. It is believed Netflix's offer is between $28 and $30 per share, which suggests a total bid value in the neighborhood of $70 billion to $75 billion.
Industry experts have cautioned that this consolidation could raise significant antitrust concerns, as it would combine two of the most dominant streaming services in the American market.
Commitments and Corporate Restructuring
In its proposal, the streamer has reportedly given guarantees that the legendary movie lot, behind iconic series like Batman and Harry Potter, would retain wide theatrical releases.
Before any potential deal closing, Warner Bros Discovery is expected to complete a pre-arranged separation of its linear TV networks, such as CNN, TBS, and TNT.
A Content Juggernaut
Should the deal proceed, the buyer would become the owner of the acclaimed HBO, the maker of award-winning shows including Game of Thrones, Succession, The Sopranos, and The White Lotus, plus an extensive library of beloved TV series.
The studio officially began its sale process in October following interest from several interested parties.
Industry Concerns
The potential sale has sparked controversy. Esteemed director James Cameron, known for the Avatar and Terminator franchises, stated this week that a Netflix acquisition could lead to a "significant erosion of long-term value" for the broader entertainment industry.
At first, Paramount Skydance had been considered the early favorite. The company had similarly proposed a $5bn breakup fee contingent on approval issues.
Claims Regarding an Unfair Process
Recently, Paramount contended formally that its offer was the most likely to secure government approval. Additionally, the studio alleged Warner Bros of conducting an "biased sales process" that favored Netflix, labeling it "tainted" in legal correspondence.
Officials from Warner Bros, Netflix, Comcast, and Paramount have declined to comment on the ongoing negotiations.
